ERM has represented Access Point Fund (formerly TFRG) in a NIS 45million loan agreement to Effi Capital for the construction of a multipurpose real estate project at Bet-Shemesh. The project will include 300 residential units and commercial units. The fund will provide 80-85% of the shareholders’ equity that will be required to purchase the rights in the land from the Israel Land Authority and to execute the project.

ERM represented The Mivneh Group in the sale of a NIS 11 million commercial asset at the Atarot Industrial Zone in Jerusalem. This is the 5th  deal in which ERM represents The Mivneh Group this year.

ERM has acted for Mishkei Renewable Energies, the renewable energy arm of the Kibbutzim Organisation (one of Israel’s strongest energy players) for the construction, operation and financing of power plants in Kibbutz Ein Tzorim and Tarabin, a Bedouin settlement. The cooperation with Clal Insurance, who acted as lender on the NIS 100 million loan for the project, is expected to continue for future projects that shall be constructed within the competitive process published by The Electricity Authority.

ERM is proud to have represented Karamba Security in a $USD 10 million debt funding from Silicon Valley based venture debt firm – Western Technology Investment (WTI). This brings the total investment in Karamba Security to $27 million.

ERM has represented Karamba Security since its incorporation in 2016. Karamba Security is widely regarded to be one of Israel’s most promising startups, with innovative cyber security products geared toward the automotive, medical devices and IoT industries.

ERM advises the shareholders of City  People in the sale of 51% of their shares to Rotshtein Real Estate, a public company listed on the Tel -Aviv Stock Exchange (TASE). The joint company will manage the urban renewal activity of both Rotshtein and “City – People”.

StoreSmarts provides retailers with real-time data and insights into consumer in-store behavior and their acquisition by Retail IQ will enable their products to be distributed worldwide.

ERM has acted for innogy Innovation Hub (innogy) on its investment in Israeli start-up Waycare, a developer of an AI-driven transportation management solution for smart cities. Our team had previously advised innogy on its investment in customer service platform TechSee as well as in Aseest.

The latest investment is in line with innogy’s focus to look for startups in the area of “Urban Exponentials” – innovation that improves the quality of life and work in European megacities, and specifically urban mobility.

Waycare raised $2.3 million in the seed round, which was led by innogy SE and Silicon Valley-based Spider Capital, with participation from Goldbell InvestmentsUpWest LabsjanomZymestic Solutions, and SeedInvest.

ERM acted for Unidress, an Israeli market leader in the field of work clothes and uniforms, in an administrative petition which was submitted at the Tel Aviv District Court by Fibrotex Technologies Ltd.

The petition targeted the Ministry of Defense‘s decision to trial Unidress’ services and to lease 4,100 sets of special uniforms from Unidress, which would be used by the Israel Defense Force‘s (IDF) special units.

As part of the lease, Unidress also provides a wide range of services, including laundry services, repairs, replacements and an around-the-clock call centre. Since the Ministry reached the conclusion that Unidress is the only service provider in Israel which has the capabilities to perform such services, it decided not to publish a public tender, a decision which Fibrotex contested.

Fibrotex argued, among other things, that the services should be ‘divided’ into a few different parts, and that the Ministry should have published a tender relating to the manufacturing of the uniforms. The court rejected the petition, and accepted Unidress’ argument that such a division would undermine the essence of the services sought by the Ministry.

As our head of dispute resolution Gideon Weinbaum commented to TheMarker:

“Since the Ministry of Defense found that only Unidress can provide the services within the framework of the project, its decision to enter into the agreement with Unidress as a sole supplier is correct and reasonable”.
